1. Introduction
These Terms & Conditions ("Terms") govern your access to and use of Titan Capital Group (“we,” “us,” or “our”) Crypto Trading SaaS (Software as a Service) Licensing Agreement. By using our service, you (“Licensee” or “you”) agree to these Terms.

2. General Risk Disclaimer & Acknowledgment
2.1. We do not provide investment advice and are not a registered dealer, advisor, or marketplace under Ontario securities laws.
2.2. Titan Capital Group is a technology service provider offering access to automated trading software. We do not execute trades on behalf of clients or guarantee profits.
2.3. Participation in our Crypto Trading SaaS Licensing Program carries risks, including the potential loss of traded capital.
2.4. All trading activities involve market volatility and leverage risks. Clients must assess their own risk tolerance before using the service.

3. Use of Service
3.1. You acknowledge that profits are not guaranteed and that past performance does not indicate future results.
3.2. The Titan Capital Group software operates within pre-defined risk parameters, but all trading is at the Licensee’s own risk.
3.3. You are solely responsible for monitoring performance and ensuring the suitability of the selected trading strategy.

4. Risk & Equity Protection Measures
4.1. The system includes risk mitigation tools such as:

• Daily risk exposure limits (e.g., trailing 3% stop loss).

• Daily drawdown limits (e.g., trading stops if total equity loss reaches 10%).

4.2. Despite these measures, no system can eliminate all trading risks.

5. Confidentiality
All discussions and transactions between Titan Capital Group and the Licensee are strictly confidential and shall not be disclosed without prior consent.

6. Compliance with Ontario Laws
6.1. These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada.
6.2. Titan Capital Group does not accept investments or provide brokerage services. Our SaaS solution is a technology platform only.
6.3. We comply with applicable laws, including anti-money laundering (AML) and know-your-customer (KYC) regulations.

7. Payment Terms
7.1. Payments for SaaS licensing fees are accepted in Canadian Dollars (CAD) or Tether (USDT, TRC-20).
7.2. Membership Promotion: When an account reaches a new tier, an automatic membership upgrade applies.
7.3. Withdrawals:

• Minimum withdrawal: $100 CAD or equivalent in USDT.

• Processing time: Up to 10 business days.

• Withdrawal fee: 2% per transaction.

• Only one withdrawal request per month is allowed.
   

8. Referral Program
8.1. Licensees earn a 20% referral reward from:

• One-time setup fees from direct referrals.

• Monthly licensing fees from direct and second-level referrals.

8.2. Referral rewards are credited to the trading account and can be withdrawn during the monthly withdrawal window.

9. Termination Policy
9.1. Either party may terminate this agreement upon written notice.
9.2. Titan Capital Group reserves the right to suspend or terminate service for violations of these Terms or regulatory concerns.
9.3. Upon termination:

• Titan Capital Group will work to return remaining funds (minus fees and deductions) within a reasonable timeframe.

• Open trades may be closed immediately, and the Licensee acknowledges that Titan Capital Group is not liable for potential losses from trade closures.
   

10. Severability
If any provision is deemed invalid or unenforceable, the remaining terms shall remain in full effect.

11. Acceptance
By using our service, you confirm that you have read, understood, and agreed to these Terms.
